By accessing or using the Repsonk website and services ("Services"), you agree to be bound by these Terms of Use ("Terms"). If you disagree with any part of the terms, you may not access the Services. These Terms apply to all visitors, users, and others who access or use the Services.

Repsonk provides data operations services including but not limited to: • Data annotation and labeling services • Computer vision annotation (2D/3D bounding boxes, segmentation, LiDAR) • Large Language Model training support (RLHF, prompt engineering) • Data integrity services (content moderation, data cleansing) • Quality assurance and validation services The specific services provided will be outlined in individual service agreements or statements of work.

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for: • Safeguarding your account credentials • All activities that occur under your account • Notifying us immediately of any unauthorized use • Ensuring your use complies with these Terms We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

The Services and their original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Repsonk and its licensors. The Services are protected by copyright, trademark, and other laws. You retain ownership of any data you submit to us for annotation. Upon completion of services, annotated data and deliverables will be owned by you unless otherwise specified in a service agreement.

We understand the sensitive nature of your data. We commit to: • Treating all client data as confidential • Implementing appropriate security measures • Not disclosing client data to third parties without consent • Using client data only for the purpose of providing Services • Returning or destroying client data upon request or completion of services Specific confidentiality terms may be outlined in separate non-disclosure agreements.

When processing your data, we act as a data processor on your behalf. We will: • Process data only according to your instructions • Ensure personnel are bound by confidentiality obligations • Implement appropriate technical and organizational measures • Assist with data subject requests and compliance obligations • Delete or return data upon termination of services • Provide information necessary for compliance audits Additional data processing terms may be specified in a Data Processing Agreement.

We strive to deliver high-quality services meeting agreed-upon specifications. Service levels, quality metrics, and acceptance criteria will be defined in individual service agreements. We commit to: • Maintaining quality standards as specified • Providing regular progress updates • Addressing quality concerns promptly • Reworking deliverables that do not meet specifications Specific service level agreements (SLAs) may be established for enterprise clients.

Payment terms will be specified in individual service agreements or quotes. Generally: • Fees are due as specified in the service agreement • Late payments may incur interest charges • Disputed charges must be reported within 30 days • We reserve the right to suspend services for non-payment All fees are exclusive of applicable taxes unless otherwise stated.

To the maximum extent permitted by law, Repsonk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses. Our total liability for any claims under these Terms shall not exceed the amount paid by you to Repsonk during the twelve (12) months preceding the claim.

You agree to defend, indemnify, and hold harmless Repsonk and its officers, directors, employees, and agents from any claims, damages, obligations, losses, or expenses arising from: • Your use of the Services • Your violation of these Terms • Your violation of any third-party rights • Any content you provide to us for processing

We may terminate or suspend your access immediately, without prior notice, for any reason including breach of these Terms. Upon termination: • Your right to use the Services will cease immediately • We will complete any work in progress as agreed • Outstanding payments will become immediately due • Confidentiality obligations will survive termination

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We reserve the right to modify or replace these Terms at any time. Material changes will be notified at least 30 days before taking effect. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
